Welcome to Naeem Foods Industries. These Terms and Conditions govern your access to our website and the commercial business-to-business (B2B) relationships, manufacturing agreements, private-label services, and global export transactions we undertake. By accessing our website, requesting a quotation, or entering into a purchase agreement with us, you agree to comply with and be bound by the following terms. Please read them carefully.
1. Scope of Services and Commercial Agreements
Naeem Foods Industries operates as a primary manufacturer, processor, and global exporter of Himalayan rock salt products, agricultural mineral feed blocks, and bulk culinary spice powders. All commercial orders, OEM/private-label manufacturing runs, and custom packaging projects are subject to formal written purchase orders, proforma invoices, and mutual contract agreements agreed upon by both parties.
2. Minimum Order Quantities (MOQs) and Pricing
- MOQs: Minimum order quantities vary based on product categories, customization requirements, packaging formats, and delivery destination ports.
- Export Standards: International export orders typically require a minimum of one Full Container Load (FCL) to ensure freight efficiency, though mixed-product pallet tiers may be established for regional distributors.
- Pricing: All quoted prices are subject to change based on raw material availability, seasonal harvest factors, and agreed-upon Incoterms (e.g., FOB, CFR, CIF). Official pricing is locked only upon issuance and written confirmation of a proforma invoice.
3. Shipping, Logistics, and Risk of Loss
- Global Delivery: While we service international markets worldwide, our operations maintain a primary strategic shipping focus on the United Arab Emirates (UAE) and major commercial ports.
- Incoterms & Responsibility: International shipments operate under standard commercial Incoterms agreed upon during contracting. The risk of loss or damage to goods transfers to the buyer in accordance with the specified Incoterm (typically upon loading at the port of origin for FOB terms).
- Customs & Import Duties: The buyer is solely responsible for complying with destination country import regulations, securing necessary import licenses, and paying all applicable local customs duties, tariffs, and clearance fees.
4. Product Quality, Compliance, and Inspection
- Certificates of Analysis (COA): Every container shipment is accompanied by appropriate quality documentation, including Certificates of Analysis, weight verification logs, and agricultural/phytosanitary clearance certificates where applicable.
- Inspection Period: Buyers must inspect all shipments upon arrival at their destination port or warehouse. Any claims regarding discrepancies, weight shortages, or packaging damage must be reported in writing within seven (7) business days of delivery, accompanied by photographic evidence and official inspection reports.
5. Intellectual Property and Private Label Branding
All website content, text, graphics, logos, product descriptions, and manufacturing processes displayed on https://naeemfoodsindustries.com/ are the exclusive property of Naeem Foods Industries. For private-label and OEM partners, the client retains intellectual property rights over their specific brand logos, custom packaging designs, and proprietary formulations. Naeem Foods Industries is granted a limited license to utilize client branding elements strictly for the execution of agreed-upon production runs.
6. Limitation of Liability
Naeem Foods Industries shall not be held liable for any indirect, incidental, special, or consequential damages—including loss of profits, business interruption, or commercial revenue loss—arising out of or in connection with the use of our products, website, or delayed ocean freight transit caused by force majeure events (including weather anomalies, port strikes, government restrictions, or global shipping disruptions).
7. Governing Law and Jurisdiction
These Terms and Conditions, as well as any commercial contracts executed with Naeem Foods Industries, shall be governed by and construed in accordance with the laws of the jurisdiction in which our operational headquarters is located (Karachi, Pakistan), without regard to conflict of law principles. Any legal disputes arising from business transactions shall be settled through mutual negotiation or submitted to the competent courts of jurisdiction.
8. Modifications to Terms
Naeem Foods Industries reserves the right to amend, update, or modify these Terms and Conditions at any time without prior notice. Continued use of our website or ongoing business engagement following any updates constitutes your formal acceptance of the revised terms.
